EVALUATION LOAN AGREEMENT

PURPOSE

This Agreement is provided by Incode Corp. to allow prospective users the opportunity to facilitate assessing the applicability of Incode Corp. products for their applications. The intent normally is not to exceed two weeks, and is not intended to provide an application development system.

This Agreement, date as of the ____________________________ day of _______________, ______, is entered into by and between Incode Corp., with its principal place of business at 12140 Severn Way, Riverside, CA 92503.

Incode Corp. agrees to loan the product(s) on this Agreement, along with appropriate software and documentation, as necessary for CUSTOMER to conduct the evaluation.

CUSTOMER agrees to respect the proprietary and trade secret nature of the product(s) by treating them as it would its own valuable asset and information.

Incode Corp. will provide technical assistance from its Support Center which can be reached at (951) 272-9951.

Incode Corp. agrees to pay freight on the shipment (UPS Ground) to CUSTOMER. Should CUSTOMER elect to return the product(s), CUSTOMER agrees to return the unit(s) in the same condition that it was received (as new), to Incode Corp., at CUSTOMER's expense. CUSTOMER agrees to return the product(s) in the same protective packaging the units are received in, or equivalent packaging.

CUSTOMER agrees to reimburse Incode Corp. for any damage to the product(s) that is a result of either abusive use or insufficient packaging when returning the product(s).

CUSTOMER agrees not to disassemble the units except with prior written permission from Incode Corp.. CUSTOMER agrees to reimburse Incode Corp. for any damage resulting from authorized disassembling of the product(s).

The evaluation period shall be for fourteen (14) working days from the date of shipment to CUSTOMER. At the end of this period CUSTOMER may purchase the product(s) or return it to Incode Corp., 41765 Elm Street, Ste 102, Murrieta, CA 92562.

This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter hereof.

EVALUATION PRODUCT(s)

There is a nonrefundable $80.00 evaluation charge.
This charge will be applied as a credit to your purchase.

NOTE: The evaluation fee can be paid with a major credit card, COD or by Corporate Purchase Order.
